IN WHICH CASES DO I HAVE TO APPLY FOR AN INVESTMENT CERTIFICATE?

According to the provisions of Clause 1, Article 23, Investment Law 2020, there are 2 cases where procedures for applying for an Investment Registration Certificate must be completed:

• Projects of foreign investors (100% foreign capital).
• Investment projects of economic organizations with foreign investment capital accounting for over 50% of charter capital.

TIME TO COMPLETE PROCEDURES FOR ISSUING INVESTMENT CERTIFICATE

The documents and procedures for applying for an investment license in Vietnam are quite complicated, and it will take a lot of time for investors to learn and carry out on their own. Therefore, Minh Khai has offered 2 service packages for making Investment Certificates so that investors have appropriate choices.

Note:

• Service completion time is calculated according to normal working days, excluding Saturdays, Sundays, holidays, Tet…
• After obtaining the investment certificate, businesses need to wait another 3–5 working days for Minh Khai to support the registration of establishing a foreign-invested company and hand over the results to the business.

WHAT DO I NEED TO PREPARE TO APPLY FOR AN INVESTMENT CERTIFICATE?

When using the service of applying for an Investment Certificate at Minh Khai, customers need to provide the following documents and papers:

Investors are individuals

• ID card/CCCD/Passport of foreign investors;
• ID card/CCCD/Passport of Vietnamese people (if there are Vietnamese people contributing capital);
• Certificate of investor’s bank account balance equivalent to contributed capital;
• Head office lease contract;

Investors are organizations

• Copy of the foreign company’s Establishment License;
• ID card/CCCD/Passport of the representative managing the capital contribution of the foreign company in Vietnam and the person appointed as the legal representative of the company intended to be established;
• Certificate of investor’s bank account balance equivalent to the amount of contributed capital or audited financial statements of the last 2 years for foreign companies;
• Head office lease contract.

Note: Documents from abroad must be consular legalized notarized translated into Vietnamese.

PROCEDURES FOR APPLYING FOR AN INVESTMENT CERTIFICATE

To be granted an Investment Certificate, foreign investors need to meet the following conditions:

• Have nationality (individual) or head office address (organization) in a country that is part of the WTO with Vietnam.
• The registered investment industry does not belong to the industries and professions banned from business investment.
• There is a location for implementing investment projects.
• Meet market access conditions for foreign investors.

Application for Investment Certificate

Document components include:

• A document requesting implementation of the investment project.
• Proposed investment project.
• Document verifying the foreign investor’s bank account balance equivalent to or greater than the investment amount. If the account is abroad, the documents must be consular legalized, then translated and notarized into Vietnamese.
• Head office rental contract to implement an investment project, Documents proving the lessor’s leasing rights (Certificate of land use rights, Construction license, Business registration certificate with business function real estate of the lessor or equivalent documents).

For foreign investors who are individuals, additional information is required:

• Copy of foreign investor’s passport.

For foreign investors who are organizations, additional information is required:

• Copy of Business Registration Certificate of foreign organization.
• Copy of ID card/CCCD/passport of the representative of the capital contribution to the foreign investment organization in Vietnam.
• Financial statements within the last 2 years audited by a foreign organization (must be consular legalized, valid within 90 days) or commitment to financial support from the parent company.
